This Unincorporated Association “M Business Club”, operating as a Private Membership Association (hereinafter Club), requires all Members to agree and adhere to these Terms & Conditions as well as the Bylaws of the Club.
This agreement sets out the terms and conditions as well as the responsibilities for a Membership relationship between the Member (Member) and Leigh Eggins (Facilitator) of M Business Club, and is for a term of 12 months (Term).
The Member hereby agrees:
1. The Member and Member’s partner (business or romantic) will be invited and encouraged to attend two in-person Long Weekend Special Events and one in-person CONNECT Annual Retreat hosted by the Club annually.
2. Providing Membership fees are paid and up to date, Membership includes Member only attendance of any or all of the following in-person Events, as most recently agreed with the Member:
2.1. One – Leaders and Partners Long Weekend Special Event
2.2. One – Family Friendly Long Weekend Special Event
2.3. One – CONNECT Annual Retreat
Includes Member accommodation and meals (does not include flights).
3. The Member and Member’s partner (business or romantic) will be invited and encouraged to attend additional in-person Events which may not be covered in their Membership fees and may require additional investment.
4. The Club recognises and appreciates the value of both business and romantic partners sharing in the journey of Members. For ease of management and to ensure they get the attention they desire and deserve, the Club asks that you bring a maximum of one partner (business or romantic) to any Event.
5. Children (Adult children too) are invited and encouraged to attend our Family Friendly Long Weekend Special Events which are usually held in November. Other Long Weekend Special Events and the CONNECT Annual Retreats are for leaders and partners only.
6. This agreement includes Member only attendance of any or all of the following online meetings, as most recently agreed with the Member:

Neither the Facilitator, M Business Club or any employees, professionals or volunteers are licensed to provide financial advice and therefore do not endorse or suggest that attendees should invest in anything that is introduced by the Club, Members or our guest speakers and assume no responsibility for, the content, accuracy or completeness of the information presented.
Members hereby indemnify the Facilitator, M Business Club, any employees, professionals, volunteers and guest speakers regarding any opinions or information they provide which might be considered financial or legal advice. Attendees should, prior to acting on any information provided, seek their own independent financial advice appropriate for their circumstances, financial standing and investment objectives.
8. The Member will gain access to the Club and its resources including the Member Portal and Vault.
9. Member and the Members partner may request online or in-person 1:1 Success Coaching from the Facilitator or one of the Club coaches.
10. Member may request Half or Full Day Success Coaching, which is in-person, usually at a location decided by the Facilitator. If Facilitator is required to travel to a location further than 50klms from the office or base to facilitate Half Day or Full Day Success Coaching for the Member, travel and accommodation will be at the Members cost.
11. The Member acknowledges and accepts that the Member is responsible for their own actions including the actions of their partner and hereby hold harmless all actions of the Facilitator and the Club and any of its staff and employees, officers or affiliates or agents from liability for any of the Members actions at any time prior to, during and after any of the Events referred to in this agreement, and any coaching provided under this agreement, including any liability for any direct, indirect, incidental, consequential (including damages from loss of business, lost profits, litigation or the like) and any other damages arising out of or relating to this agreement.
12. The Member hereby waives, holds harmless, and forever discharges from any liability, damages or claims of damages for personal injury, including accidental death, as well as claims of property damage against the Facilitator and the Club, and any of its staff and employees, officers, affiliates or agents. The Member agrees to act and behave in a peaceful manner and avoid acting in any vexatious manner and to observe the Natural Law of “do no harm”.
13. The Member releases the Facilitator and the Club and any of its employees, volunteers, officers or affiliates and agents from all liability in the event of lost, stolen, damaged personal property. The Member acknowledges and accepts that the Facilitator and/or the Club is not responsible for any lost luggage, delayed flights, missed transportation, and any other such occurrences and the Member hereby acknowledges that the Facilitator and the Club are released from any claim and/or liability arising from or resulting from any airline service problems.
14. The Member acknowledges and accepts that the Facilitator and/or the Club (as the case may be) reserve the right to cancel any Event, at any time. In the event of such cancelation, the Facilitator and/or the Club will not be held responsible for any travel arrangements, airfares purchased or loss claimed by the Member. It is solely the responsibility of the Member to confirm and verify Event dates before purchasing flights or making travel arrangements. It is the responsibility of the Member to purchase sufficient and appropriate travel insurance to cover trip changes, lost or stolen baggage, emergency medical and airlift and any such other insurance cover as required by the Member.
15. The Member must ensure that they are in possession of a valid passport to travel to any Event destinations as arranged by the Club. The Member’s passport must have at least 6 months remaining before its expiration date to be valid. The Member acknowledges and accepts that it is the Member’s responsibility to ensure and comply with all Australian and overseas travel requirements and regulations. The Member releases the Facilitator and the Club from all claims arising from any failure by the Member to comply with this condition.
16. The Club understands unavoidable situations occur resulting in the Member being unable to attend an in-person Event or Retreat that they have confirmed or accepted. If the Member cancels their attendance, their partners, or their children’s attendance within thirty (30) days of the start of the Event or Retreat, that they have confirmed or accepted, cancellation will result in forfeiture and the Member will be required to pay for their confirmed attendance due to the Club being financially committed to the event suppliers.
17. The Member may receive in-person event credit/s each year or term, reflecting the in-person event/s available to them in that twelve month period. There is no refund or owed monies or services for non-attendance, arriving late or leaving early from any in-person or online events.
18. The Facilitator agrees to spend appropriate amount of time in preparation for meetings with the Member.
19. The Member acknowledges and accepts that the results of any coaching will depend on the Member’s ability to take action and to follow the agreed strategies to the best of the Member’s abilities, to communicate clearly with the Facilitator, and to take responsibility for the results achieved and that the Member understands that the Facilitator is acting as facilitator only. The Member accepts that the Member is solely responsibility for making the processes work and takes responsibility for the Members performance and outcomes achieved.
20. The Member agrees to share with the Facilitator all issues which the Member needs or would like assistance with. The Member acknowledges and accepts that any issues not shared with the Facilitator may not be resolved or may impede the successful achievement of the Members goals and objectives. The Facilitator agrees to use such reasonable efforts to assist the Member to resolve the issues identified and shared with the Facilitator. The Facilitator and the Member agree and accept that all discussions and disclosure made by either party will be confidential and the parties are bound by confidentiality obligations under this agreement.
21. The Member agrees and accepts, as part of the objectives to be achieved under this agreement, the Facilitator may assign tasks to be done in between coaching sessions, and that the Member will exercise the Member’s best effort to fulfil such tasks. The Member acknowledges that if the assigned tasks are not performed by the Member, the outcome of the coaching cannot be determined.
22. The Member acknowledges and accepts that the Facilitator is not providing psychological or medical advice under this agreement or otherwise and that the coaching provided by the Facilitator is not a replacement for sound professional treatment from a licensed health care provider. The Facilitator is not a licensed medical doctor, psychologist, psychiatrist, Master’s in Family Therapy (MFT), or a Master’s in Social Work (MSW).
The coaching services provided to the Member are not licensed in this state, nor are they regulated by any governmental body. The Facilitator will always provide only those services in which he has been trained, and if the Facilitator determines (in the Facilitators discretion) that the Facilitator cannot assist the Member under this agreement, the Facilitator will refer the Member to an appropriate professional who can assist the Member.
23. The Member has unlimited email and text support for the term of this agreement. The Member may email or text the Facilitator at any time and the Facilitator promises to respond within a reasonable time frame, and in any event within 72 hours of receipt of the email or text.
24. The Facilitator may introduce the Member to third parties for the purpose of enhancing intended outcomes, however the Member must undertake and perform Member’s own research and due diligence prior to engaging any such third party. The Facilitator and the Club do not take responsibility for any losses or liabilities incurred by the Member, and the Member unconditionally releases the Facilitator and the Club from any claim arising therefrom.
25. During the Term (and any holding over) of this agreement, the Member may have been provided and/or given access to such information and/or intellectual property owned by the Club or the Facilitator. It is an essential term of this agreement that such information and intellectual property are confidential and remain the property of the Club or the Facilitator (as the case may be) and the Member warrants that such information and intellectual property are confidential and will not be disclosed or shared with anyone without the written consent of the Club or the Facilitator.
26. Facilitator takes 8 weeks leave per year and will notify the Member by email prior to doing so.
27. Payment of agreed Membership fees are required within 7 days of the date the Member agrees with these terms and conditions.
28. The Club Membership fees are due and payable in full on or before the monthly, quarterly, annual or other agreed anniversary of the date the Member initially pays, and the Club will supply the Member with the associated invoices/receipts.
29 It is essential that Membership fees for any payment plans be automated by setting up a recurring direct deposit to the Club bank account, or by credit or debit card through the Club’s chosen merchant facility.
30. All bank fees from Membership fee transactions, including any dishonour fees, are to be paid by the Member.
31. If the Member delays payment of Membership fee payments for any reason the Club has the right to charge interest, calculated monthly on the Membership fee balance owing at the first of the month. In the event that a Member fails to pay Membership fees to the Club for more than two months from the due date, the Club has the right to suspend access to the Club education sessions, Events, meetings and resources. In the event that a Member fails to pay Membership fees payable to the Club for more than three months from the due date, the Member shall be deemed to have ceased to be a Member of the Club and all owed Membership fees are due in full.
32. The Club endeavours to provide accurate pricing information to its Members with regard to any services covered in this agreement. To the extent legally permitted, it gives no warranty about and accepts no responsibility for the accuracy or completeness of that information, or for any error or omission in any original promotional materials offered to Members. The prices provided are subject to change from time to time and the Club reserves the right to make such changes at its discretion provided that the Club discloses any price changes to its Members.
33. At any time after the Term, the Membership fee may increase to reflect inflation and or increased products and services offered by the Club. The Club agrees to consult the Member regarding any changes in Membership fee prior to effecting such changes.
34. Unless otherwise decided and agreed in writing by the parties, this agreement and its clauses are deemed to apply after the initial Term.
35. As the Club is committed to providing services over the Term which depend on the Membership fee payments by the Member, unless the Member has paid the annual Membership fee in full, termination is only possible at the Membership anniversary. If the Member insists on terminating at any other time, payment of all remaining payments up until the completion of the Term are required in full.
36. This agreement may be terminated by the Member by written notice period of not less than 30 days. If the Member chooses to terminate prior to the completion of the Term, all Membership annual offers and inclusions are considered fulfilled without negotiation.
37. The Facilitator or Club reserves the right to suspend, terminate or cancel this agreement immediately by written notice if it is deemed that the Member is not complying with the terms or conditions of this agreement, or are causing a disruption to the peace of the Club, fellow Members, Partners or Associates, and all Membership offers and inclusions are considered fulfilled without negotiation.
38. The Member accepts that it is an essential term of this agreement that the Club will not refund any monies for incomplete annual Membership Term due to termination and the Member accepts that the effect of this clause is reasonable and this is a genuine pre-estimate of the Club’s administrative costs as a result of such termination.
39. Procedures for internal disputes are to be dealt in accordance with our bylaws agreed through a social compact by the Founding Members jointly with the Assembly Members in resolving any issue arising. The Association has also adopted the Universal Declaration of Human Rights UDHR, and every Association Member must agree to act and behave in a peaceful manner and agree to the bylaws before joining the Association or Assembly and also observe International Law, natural law, come in peace and “do no harm”.
40. The Facilitator and the Club understand the importance of privacy and they are committed to helping to protect your privacy and the privacy of any information you provide.
All information is held privately on our servers and will not be shared with any other external organisation and the Club will always take reasonable precautions to keep your personal information secure. Access to your personal information is permitted among employees and volunteers only on a need to know basis. If the personal information that we have about you is no longer needed, we will take reasonable steps to destroy the personal information.
All of our employees and volunteers are trained in the importance of protecting your personal information and in the methods by which we do so. Our staff are bound by confidentiality agreements to keep your personal information secure.
We have adopted relevant checks and balances in place to ensure that your personal information is protected against misuse or loss and from unauthorised access or modification or disclosure.
Should the situation arise, we will comply with all reasonable directions from the Member in respect of dealing with their confidential or personal information including returning or destroying the information. The Member upon request can receive access to their personal information at any time.
41. The Club agrees that if the Member has attended all of the Events and monthly meetings offered for the chosen level of annual Membership, has scheduled 2 hours in their calendar every week for Freedom, Flow and Fulfilment Time (Authentic Success - expansion and improvement of all of these), have done their best to honour this time every week, has completed agreed Trello tasks, and hasn’t generated at least double their annual Membership fee, the Club guarantees to give the Member 100% of their annual Membership fee back. Members claim must be in writing with proof and be received by the Club within 30 days after the completion of the first 12 months Term of paid Membership.
42. The Club appreciates being engaged with Members over the long term and rewards Members who have held Membership for in excess of 5 years. As an acknowledgement of the Members contribution over the preceding 5 years, Membership fees are reduced significantly. As an acknowledgement of the Members contribution to the Club over 7+ years, Membership fees are reduced to $10/year.
43. The Club reserves the right to amend or update the terms, conditions, bylaws or Articles and will notify the Members.

On day two, you will join these leaders on an adventure which will inspire and broaden your horizons. Includes accommodation and meals.
